Terms of Service
Last updated October 24, 2026
These Terms of Service form a binding agreement between you and LaunchLayer. By creating an account, purchasing a subscription, or using the service, you accept these Terms and our Privacy Policy. If you use LaunchLayer for a company or client, you represent that you have authority to bind that party.
Service & Customer Responsibilities
LaunchLayer provides software tools for quality assurance, release review, packaging, deployment assistance, and app-store preparation. You remain solely responsible for your apps, source code, uploaded binaries, credentials, content, client relationships, legal compliance, testing, backups, store accounts, disclosures, and publication decisions. You must review all generated output before relying on or submitting it.
Recurring Subscriptions, Cancellation & No Refunds
Paid subscriptions automatically renew on a recurring monthly or annual basis, according to the billing period selected at checkout, until canceled. You authorize Base44 Payments and its payment partners to charge the applicable subscription fee and taxes at the start of each renewal period using your selected payment method. You must cancel before the next renewal date to avoid the next charge. Cancellation takes effect at the end of the then-current paid period and does not retroactively reverse a charge.
ALL SALES, SUBSCRIPTION CHARGES, RENEWALS, AND FEES ARE FINAL AND NON-REFUNDABLE. We do not provide refunds, credits, prorated refunds, or reimbursements for unused time, partial periods, accidental purchases, client disputes, account cancellation, or failure to use the service, except where a refund is expressly required by applicable law. Price changes apply prospectively after notice where required.
App Stores, Builds & Third-Party Services
Apple, Google, GitHub, hosting providers, payment providers, and other third parties operate independently and may change, delay, reject, suspend, or discontinue their services. LaunchLayer does not control or guarantee app approval, processing times, availability, successful builds, deployment, ranking, revenue, or continued store access. A successful validation or upload does not guarantee acceptance. You are responsible for confirming bundle IDs, package names, signatures, versions, release tracks, entitlements, credentials, and store requirements before submission.
Client Work & Professional Advice
You are solely responsible for contracts, promises, deliverables, deadlines, fees, refunds, approvals, and disputes involving your own clients or users. LaunchLayer is not a party to those relationships and assumes no responsibility for client losses, missed deadlines, rejected apps, or business outcomes. Compliance, policy, technical, and AI-generated guidance is informational only and is not legal, financial, security, or professional advice.
Acceptable Use
You may not use the service unlawfully; infringe intellectual-property, privacy, or other rights; upload malware or unauthorized content; probe or disrupt systems; bypass limits or security controls; share credentials without authority; misrepresent generated results; or use LaunchLayer to publish deceptive, harmful, or prohibited apps. We may suspend or terminate access to protect users, third parties, or the service.
Ownership & License
You retain ownership of content and project materials you lawfully provide. You grant us a limited license to host, process, transmit, and display those materials only as needed to operate, secure, and improve the service. LaunchLayer and its software, branding, templates, interfaces, and documentation remain our property and may not be copied, resold, reverse engineered, or used outside the rights granted by these Terms.
Availability, Changes & Termination
The service may be changed, interrupted, limited, or discontinued. We do not promise uninterrupted or error-free operation, preservation of every file, or compatibility with every app or third-party platform. You should maintain independent backups. We may terminate or suspend accounts for breach, risk, nonpayment, or legal requirements. Sections that by nature should survive termination—including payment obligations, disclaimers, indemnity, and liability limits—will survive.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, OR RESULTS. You assume all risk from using, modifying, signing, uploading, publishing, or relying on any app, build, report, recommendation, or generated material.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAUNCHLAYER AND ITS OWNERS, AFFILIATES, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, CLIENTS, OR OPPORTUNITIES; STORE REJECTIONS; FAILED OR DELAYED BUILDS; SECURITY INCIDENTS CAUSED BY CUSTOMER MATERIALS; OR THIRD-PARTY ACTS. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID TO LAUNCHLAYER DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100 IF YOU PAID NOTHING. Some jurisdictions do not allow certain exclusions, so mandatory rights remain unaffected.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless LaunchLayer and its owners, affiliates, personnel, and providers from claims, losses, liabilities, costs, and reasonable legal fees arising from your apps, content, credentials, client work, violation of law or store policy, infringement of third-party rights, misuse of the service, or breach of these Terms.
One-Time Purchases, Build Credits & Final Sales
Unless a separate written offer expressly states otherwise, purchases of build credits, processing credits, one-time services, and other digital features are final once purchased. Credits are not cash, cannot be redeemed for money, and are nontransferable unless we expressly permit otherwise. Initiating a build, inspection, signing operation, or deployment may consume third-party resources and fees whether or not the operation succeeds. A failed build, store rejection, delay, incompatibility, or changed customer requirement does not itself create a right to a refund. These provisions do not limit any nonwaivable statutory rights, payment-network protections, or remedies for services not provided as legally required.
Billing Questions, Unauthorized Charges & Payment Disputes
For billing errors or service concerns, please contact us promptly with relevant transaction details so we can investigate and attempt a resolution. You agree to provide accurate information and cooperate reasonably with investigations of disputed charges. We may provide transaction records, account activity, consent records, and delivery evidence to our payment processor or other authorized dispute-resolution provider, subject to applicable privacy law. We may suspend access for fraudulent transactions, material nonpayment, or abuse, subject to applicable law. Nothing in these Terms prohibits good-faith chargebacks, reports of unauthorized transactions, complaints to regulators, or any legally protected dispute or remedy.
Customer Authority, Signing Credentials & Release Decisions
You represent that you have all rights and permissions needed to upload, inspect, modify, sign, distribute, and submit each application and to authorize access to related developer accounts, certificates, provisioning profiles, repositories, and services. You must confirm application identity, bundle and package identifiers, entitlements, third-party licenses, data-handling disclosures, and compatibility before approving any paid operation or release. You remain the publisher of record and are responsible for approvals, store fees, app functionality, and compliance with platform rules. We may decline unsafe or unauthorized operations and may require additional verification. Do not upload secrets or credentials except through expressly designated secure workflows.
Dispute Resolution & Governing Law
Before filing a formal claim, either party may send a written notice describing the dispute and requested resolution and allow 30 days for good-faith informal discussions, except where urgent relief, legal deadlines, or applicable law requires otherwise. To the extent legally permitted, Colorado law governs these Terms without regard to conflict-of-law rules, and courts located in Colorado will have jurisdiction, subject to mandatory consumer venue rights and other applicable protections. Nothing restricts access to small-claims court where available, government agencies, or rights that cannot lawfully be waived. If any provision is unenforceable, the remainder will continue in effect to the extent permitted by law.
Changes to These Terms
We may update these Terms. Material changes will be posted with a revised effective date and, where required, additional notice. Continued use after the effective date constitutes acceptance of the updated Terms.
